The members of Members and the employees and associates of Institutional Members shall have the right to participate in the work of the Federation and to serve as members of all the units of the Federation. [...] The Governing Board shall consist of the President, the President-Elect, the Treasurer, the Chair of the Professional Council, the Chair of the Regional Council, the Chair of the professional unit that represents the interests of National Association Members and five other Governing Board members at large. [...] In the event of the prevention or permanent absence of one or more members of the Governing Board the remaining member(s) of the Governing Board shall be in charge of the entire management of the Federation; in the event of the prevention or 11 IFLA Statutes and Rules of Procedure permanent absence of all the members of the Governing Board the General Assembly shall appoint a person to be in that. [...] The term of the Governing Board shall be two years, commencing at the conclusion of the General Assembly that follows the election of the President-elect and the election of the other members of the Governing Board in accordance with Article 15.6 and Article 15.7 and ending at the conclusion of the General Assembly that follows the next elections. [...] In the event of dissolution, the proposals for dissolution shall provide that the liquidation surplus shall be applied for the benefit of the common good of library and information associations and service in accordance with the purposes of the Federation and the provisions of Article 7.2.
