Minutes 51 The Trustee Board Members must keep minutes of all: (1) appointments of officers made by the Board; (2) proceedings at meetings of the Company; (3) meetings of the Board and sub-Committees including: 52 the names of the Trustee Board Members present at the meeting; 53 the decisions made at the meetings; and 54 where appropriate the reasons for the decisions. [...] 16 The Seal 55 The Board shall provide for the safe custody of the seal, if any, which shall only be used by the authority of the Board or of a sub-Committee authorised by the Board in that behalf and every instrument to which the seal shall be affixed shall be signed by a Trustee Board Member and shall be countersigned by the secretary or by a second Trustee Board Member or by some other person a. [...] Annual report and return and Register of Charities 58 (1) The Trustee Board Members must comply with the requirements of the Charities Act 2011 (and Companies Act 2006) with regard to: (a) the transmission of the statements of account to the Guarantor Members of the Company; (b) the preparation of an annual report and its transmission to the Commission; (c) the preparation of an annual return and. [...] 19 (3) In no circumstances shall the net assets of the Company be paid to or distributed among the members of the charity (except to a member that is itself a charity) and if no resolution in accordance with Article 66(1) is passed by the members or the Board the net assets of the Company shall be applied for charitable purposes as directed by the Court or the Commission.
